These Terms of Service ("Terms") govern your access to and use of Cead's authentication services, website, and APIs (collectively, the "Service"). By using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Cead provides authentication and identity management services including:

  • User authentication (email/password, magic links, OAuth, MFA)
  • Session management
  • Team and organization management
  • APIs and SDKs for integration
  • Analytics and audit logging

3. Account Registration

To use the Service, you must:

  • Create an account with accurate and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Be at least 18 years old or have parental consent

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with the Service's operation or other users
  • Send spam or unsolicited communications
  • Collect user data without proper consent
  • Build competing authentication services using our APIs

5. Your End Users

When you use Cead to authenticate your application's users:

  • You are responsible for your relationship with your end users
  • You must have appropriate privacy policies and terms for your application
  • You must obtain necessary consents for data processing
  • You must not misrepresent our Service as your own

6. Fees and Payment

Pricing

The Service offers free and paid tiers. Paid features are billed according to the pricing on our website. We may change pricing with 30 days notice.

Payment Terms

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may suspend service for overdue payments
  • You are responsible for applicable taxes

7. Service Level

For paid plans, we target 99.9% uptime. Service credits may be available for extended outages as described in our SLA (available upon request for Enterprise customers).

8. Data and Security

Your Data

You retain ownership of all data you submit to the Service. You grant us a license to use this data solely to provide and improve the Service.

Our Security Obligations

We will:

  • Implement industry-standard security measures
  • Encrypt data in transit and at rest
  • Maintain access controls and audit logs
  • Notify you of security incidents affecting your data

Data Processing

We process data as described in our Privacy Policy. For EU customers, we offer a Data Processing Agreement upon request.

9. Intellectual Property

The Service, including all software, APIs, documentation, and branding, is owned by Cead. You receive a limited, non-exclusive license to use the Service according to these Terms.

You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer or decompile the Service
  • Remove or alter any proprietary notices
  • Use our trademarks without permission

10. Third-Party Services

The Service may integrate with third-party services (OAuth providers, email services, etc.). Your use of these services is governed by their respective terms. We are not responsible for third-party services.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY IS LIMITED TO THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM
  • THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY

13. Indemnification

You agree to indemnify and hold Cead harmless from claims arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your end users' actions

14. Termination

By You

You may terminate your account at any time through your account settings or by contacting us.

By Us

We may suspend or terminate your access if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity

Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • We will delete your data within 30 days (unless legally required to retain)
  • You remain liable for fees incurred before termination

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of Australia. Any disputes will be resolved in the courts of New South Wales, Australia.

17. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Cead
  • Severability: If any provision is found invalid, the remaining provisions remain in effect
  • Waiver: Failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our consent
